1. Who we are and what these Terms cover

These Terms and Conditions ("Terms") are an agreement between you and Reqzi Limited, a company registered in England and Wales and based in Birmingham, United Kingdom ("Reqzi", "we", "us"). They govern your use of the Reqzi services: our website at reqzi.com, the Reqzi management platform for landlords, letting agents, property managers and front-desk staff ("Operators"), and the Reqzi Resident mobile app for residents of buildings managed on Reqzi (together, the "Service"). By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of an organisation, you confirm you have authority to bind that organisation.

2. Accounts and access

Operator accounts are created through our signup process. Resident accounts are created by invitation from the building Operator: there is no self-signup for residents, and the Reqzi Resident app is free for residents to use. You must provide accurate information, keep your login credentials confidential and tell us promptly at hello@reqzi.com if you suspect unauthorised use of your account. Operators are responsible for managing user roles and permissions within their organisation and for ensuring their staff use the Service in line with their own internal policies.

3. Acceptable use

You agree to use the Service only for lawful, building-related purposes. You must not misuse the Service, interfere with its operation, attempt unauthorised access to it or to other users' data, upload malicious code, or use the Service to send unlawful, abusive or misleading content. Content you submit (such as service requests, photos, messages and community posts) must not infringe anyone else's rights. We may remove content that breaches these Terms and may suspend accounts responsible for it.

4. Subscriptions, billing and price changes

The Reqzi platform is provided to Operators on a subscription basis, billed monthly or annually through our payment processor, Stripe. Pricing depends on the plan and any add-ons selected, and current pricing is shown at signup and in your billing settings. Subscriptions renew automatically until cancelled. We may change prices with reasonable prior notice; changes take effect from your next billing period after the notice. Residents are not charged for the Reqzi Resident app, and the app does not sell digital content or take payments from residents.

5. Cancellations and refunds

You may cancel your subscription at any time from your billing settings or by contacting support. Cancellation takes effect at the end of the current billing period, and you keep access until then. Because we allocate infrastructure and support from the moment a subscription is activated, fees already paid are non-refundable except where a refund is required by law or we agree otherwise in writing. We recommend new customers start on a monthly plan before committing to annual billing.

6. Fair use and feature limits

Some features are subject to plan limits, such as the number of properties or units, storage for uploaded photos and documents, and messaging volumes. We may apply reasonable fair-use safeguards to protect the stability of the Service for all customers. Where a limit applies to your plan it is shown in your plan details, and usage beyond it may require an upgrade.

7. Your data and data protection

Operators retain ownership of the operational data they and their residents enter into the Service. How we collect, use and protect personal data is described in our Privacy Policy, which forms part of these Terms. We comply with UK data protection law, including the UK GDPR, and protect the Service with encryption in transit, access controls, audit logging and tenant isolation between organisations. Operators who invite residents are responsible for having a lawful basis to share resident details with us, and where required we will enter into a data processing agreement with business customers: contact us at hello@reqzi.com.

8. Intellectual property

All intellectual property rights in the Service, including the software, design and branding, belong to Reqzi Limited or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose while your account is active. You retain all rights in the content you upload, and you grant us the licence needed to host, display and process that content in order to provide the Service.

9. Service availability

We aim to keep the Service reliable and available, but we do not guarantee uninterrupted or error-free operation. Planned maintenance, emergency fixes and failures of third-party providers (such as hosting, payment or push-notification services) may affect availability. The Service is not designed to be a life-safety or emergency-response system, and emergency features in the app do not replace contacting the emergency services.

10. Mobile app and app stores

If you download the Reqzi Resident app from the Apple App Store or Google Play, your use of the app is also subject to the applicable store's terms. Apple and Google are not parties to these Terms, are not responsible for the app or its content, and have no obligation to provide maintenance or support for it. Residents can delete their account and data at any time from Profile, then Delete Account, in the app.

11. Suspension and termination

We may suspend or terminate access to the Service for non-payment, a serious or repeated breach of these Terms, misuse, or where we reasonably believe continued access creates a security or legal risk. Where practical we will give you notice and a chance to remedy the issue first. On termination of an Operator subscription, we make the Operator's data available for export for a reasonable period and then delete it in line with our Privacy Policy.

12. Liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited by law. Subject to that, we are not liable for indirect or consequential losses, loss of profits, or loss of data caused by events outside our reasonable control, and our total liability arising out of or in connection with the Service is limited to the fees paid by your organisation for the Service in the 12 months before the event giving rise to the claim. For residents, who use the app free of charge, the Service is provided without charge and nothing in this section affects your statutory rights.

13. Changes to these Terms

We may update these Terms from time to time, for example to reflect changes in the Service or in the law. The "Last updated" date at the top shows the current version. If we make material changes we will give reasonable advance notice by email or in the Service. If you continue to use the Service after a change takes effect, the updated Terms apply to you; if you do not agree to a change, you may cancel before it takes effect.

14. Governing law and general

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them, except that consumers resident elsewhere in the UK keep the protection of, and may bring proceedings under, the law of their home nation. If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with the Privacy Policy and your subscription order, are the entire agreement between you and Reqzi Limited for the Service.
